Crudspa Foundation Terms and Conditions

1: Agreement Overview
These Terms and Conditions ("Terms") govern access to and use of Crudspa Foundation websites, portals, hosted software services, support services, and related communications, including text messaging services.
Crudspa Foundation ("Crudspa," "we," "our," or "us") is a Colorado non-profit corporation located at 1603 Sicily Drive, Longmont, CO 80503. Crudspa provides hosted software-as-a-service products, educational technology services, implementation support, and related services.
By accessing or using Crudspa services, you agree to these Terms. If you use Crudspa services on behalf of a school district, organization, or other entity, you represent that you are authorized to do so.
Separate written agreements with school districts, research partners, customers, or other organizations may include additional or different terms. If these Terms conflict with an executed written agreement between Crudspa and your organization, the executed written agreement controls for that organization.
2: Services
Crudspa services may include:
- Secure, hosted web portals for students, families, educators, administrators, publishers, partners, and support staff.
- Account, authentication, permission, and administrative workflows.
- Educational content, reporting, analytics, dashboards, and operational tools.
- Technical support, implementation support, and related professional services.
- Notifications and communications related to account access, service operation, program participation, support, and security.
Crudspa may modify, suspend, or discontinue features as needed to operate, secure, improve, or support the services, subject to applicable agreements.
3: Accounts and Authorized Use
Users must access Crudspa services only through authorized accounts and permissions. You agree to:
- Provide accurate information when creating or using an account.
- Keep account credentials secure.
- Use the services only for authorized educational, operational, support, or administrative purposes.
- Follow applicable laws, school-district policies, Crudspa policies, and written agreements.
- Promptly notify Crudspa or your organization if you believe an account has been compromised.
Crudspa may suspend or restrict access when necessary to address misuse, security risk, unauthorized access, legal requirements, or violation of these Terms or an applicable agreement.
4: SMS/Text Messaging Terms
Crudspa may send SMS or MMS text messages to users who provide a mobile phone number and consent to receive messages from Crudspa or from a participating school district, program, or authorized representative using Crudspa services.
Text messages may include account access codes, authentication messages, security notices, support updates, service reminders, program notifications, and other non-marketing messages related to Crudspa services.
You may consent to receive text messages through paper forms, electronic forms, web forms, account workflows, support workflows, or other opt-in processes approved by the relevant school district or program. Consent to receive recurring text messages is voluntary and is not a condition of purchase, donation, or general participation in Crudspa services. Some account-security or account-recovery workflows may separately require a current contact method.
Message frequency varies based on your use of Crudspa services and the services requested by your school district or program. For example, account verification messages are sent when you request access or sign in, and service or support messages are sent as needed.
Message and data rates may apply. Your mobile carrier may charge fees for text messages or data according to your mobile plan.
You may opt out of Crudspa text messages at any time by replying STOP to a Crudspa message. After you opt out, you may receive a final confirmation message. You may request help by replying HELP or contacting Crudspa at support@crudspa.org.
Carriers are not liable for delayed or undelivered messages. Message delivery is not guaranteed and may depend on your mobile carrier, device, network availability, and other conditions outside Crudspa's control.
Crudspa does not sell, rent, or trade mobile phone numbers. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Crudspa does not share mobile phone numbers or SMS consent records with third parties or affiliates for marketing or promotional purposes. 5: Data, Privacy, and Student Records
Crudspa's collection and use of personal information is described in the Crudspa Foundation Privacy Policy.
When Crudspa processes student information for a school district or authorized education partner, Crudspa uses that information only as authorized by the relevant agreement, school-district direction, and applicable law. Crudspa does not use student data for targeted advertising and does not sell student personal information.
School districts and other organizations are responsible for determining which users may access their data and for managing their own legal obligations to students, families, employees, and other users.
6: Acceptable Use
You may not:
- Access or attempt to access systems, data, accounts, or features without authorization.
- Interfere with or disrupt Crudspa services, networks, or security controls.
- Upload or transmit malicious code, harmful content, or unlawful material.
- Use Crudspa services to violate privacy, intellectual property, security, or other legal rights.
- Reverse engineer, scrape, copy, resell, or commercially exploit Crudspa services except as expressly allowed by law or written agreement.
- Use Crudspa services to send unlawful, deceptive, abusive, harassing, or unsolicited communications.
- Use student data for targeted advertising, marketing to students or parents, or any purpose not authorized by the relevant school district or agreement.
7: Intellectual Property
Crudspa and its licensors retain all rights, title, and interest in Crudspa software, documentation, designs, trademarks, content, templates, reports, and other materials, except for data or content owned by customers, users, school districts, or other third parties.
Subject to these Terms and applicable agreements, Crudspa grants authorized users a limited, non-exclusive, non-transferable right to access and use Crudspa services for authorized purposes.
8: Third-Party Services and Links
Crudspa services may integrate with or link to third-party services. Third-party services are governed by their own terms and policies. Crudspa is not responsible for third-party services unless expressly stated in a written agreement.
9: Support
For help with Crudspa services or text messaging, contact support@crudspa.org. Users associated with a school district or organization may also contact their local administrator.
10: Disclaimers
Crudspa works to provide reliable, secure, and useful services. Except as expressly stated in a written agreement, Crudspa services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11: Limitation of Liability
To the maximum extent permitted by law, Crudspa will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from or related to the services.
Where an executed written agreement applies, any limitation of liability in that agreement controls.
12: Termination
Crudspa may suspend or terminate access to services if a user violates these Terms, an applicable agreement, law, security requirement, or authorized-use restriction. Organizations may terminate services according to their written agreements with Crudspa.
13: Changes to These Terms
Crudspa may update these Terms from time to time. When we make material changes, we will update the effective date and provide notice as appropriate through our website, services, agreements, or other communication channels. Continued use of Crudspa services after updated Terms become effective means you accept the updated Terms.
14: Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Unless an applicable written agreement states otherwise, disputes will be resolved in the state or federal courts serving Boulder County, Colorado.
